As representatives of Marieke Incorporated, we are each responsible for defining our company positively.
The purpose of this Code of Business Conduct and Ethical Guidelines is to assist us in understanding the values and beliefs that we share and stand for as an organization.
It offers many guidelines, but it cannot make decisions for you. You should seek guidance from your supervisor, human resources, or the legal department if you have questions.
By aligning with our values and demonstrating commitment to this code of conduct, we will ensure that our message to our constituencies and each other is clear. The Marieke team will operate at the highest level of integrity and strive to demonstrate exemplary behavior.

I. Definition and Applicability
To run our business effectively, we developed management tools that include a mission statement, corporate values, and strategic objectives. In addition, we created this Code of Business Conduct and Ethical Guidelines upon which we base the operation of our business.
This Code of Business Conduct and Ethical Guidelines is a standing guide for handling business situations honestly and professionally and should be used in determining key business decisions and actions. We designed this code to deter wrongdoing and to promote:
- Honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships.
- Full, fair, accurate, timely, and understandable disclosure in reports and documents that we file with, or submit to, the Securities and Exchange Commission and in other public communications made by us.
- Compliance with applicable governmental laws, rules, and regulations.
- The prompt internal reporting to an appropriate person or persons identified in the code of violations of the code.
- Accountability for adherence to the code.
This code applies to all Marieke employees nationwide. These principles are not intended to be all-inclusive, but they do provide important information about the company’s established way of doing business.

III. Ethics and Compliance
We expect all employees to act with the highest standards of honesty and ethical conduct while working on our company’s premises, at off-site locations where Marieke business is being conducted, at Marieke-sponsored business and social events, or at any other place where the employees are representing Marieke.
All Marieke employees must comply with all applicable laws and regulations. Employees are expected to be familiar with the legal and regulatory requirements applicable to their business responsibilities and to fulfill their duties according to these laws and regulations.
IV. Conflicts of Interest and Use of Insider Information
It is Marieke’s policy that all employees avoid any activity that is or has the appearance of being hostile, adverse, or competitive with the company, or that interferes with the proper performance of duties, responsibilities, or loyalty to the company.
V. Employment Practices
Marieke respects, values, and welcomes diversity in our workforce, as well as in our customers, our suppliers, and the global marketplace. Marieke’s policy is to comply with all applicable laws and to provide equal employment opportunity for all applicants and employees without regard to non-job related factors.
Marieke is committed to providing a workplace free of all types of harassment. Marieke strongly disapproves of, and will not tolerate, harassment of employees by managers or co-workers.
VI. Business Practices
It is company policy to compete vigorously while at the same time adhering to both the letter and spirit of antitrust laws.
VII. Use and Protection of Assets and Electronic Systems
Every Marieke employee is responsible for protecting the assets of the company. The company’s assets include physical assets, such as equipment and buildings, as well as our funds, intellectual property, trade secrets, and confidential information.
VIII. Violations of the Code and the Ethics Hotline
If an employee needs assistance in evaluating proposed conduct or if an employee observes or suspects any violation of the Code of Business Conduct and Ethical Guidelines, he or she should first tell his or her supervisor. If the employee is uncomfortable speaking with his or her supervisor for any reason, he or she should contact human resources.
Marieke will take appropriate disciplinary actions, up to and including termination, for any violation of this Code of Business Conduct and Ethical Guidelines.
